1. About these terms

These Terms of Service (the "Terms") govern access to and use of the SkinsFlow website, dashboard, hosted checkout, application programming interface and related services (together, the "Service").

The Service is provided by Skinsflow Limited, a company registered in the Republic of Seychelles with its registered office at Office 2841, House of Francis, Ile du Port, Mahe, Seychelles ("SkinsFlow", "we", "us" or "our").

These Terms apply to two groups of users:

  • Merchants: businesses that open a SkinsFlow account to accept game items as payment from their own customers; and
  • Customers: people who use a SkinsFlow checkout to pay a merchant with game items.

By creating an account, integrating the Service, or completing a checkout, you agree to these Terms and to the policies they refer to: our Privacy Policy, Cookie Policy, AML & KYC Policy and Acceptable Use Policy. If you do not agree, do not use the Service.

If you accept these Terms on behalf of a company or other organisation, you confirm that you are authorised to bind it, and "you" refers to that organisation.

2. Definitions

  • Item or skin: a virtual item in a supported game (Counter-Strike 2, Dota 2 or Rust) held in a Steam inventory.
  • Deposit: a payment in which a customer transfers items to us through a Steam trade offer for the benefit of a merchant.
  • Project: a website or application a merchant registers in the dashboard. Each project has its own API credentials, webhook settings and balance.
  • Balance: the US-dollar amount recorded in our ledger for a project, made up of credited deposits less fees, purchases and reversals.
  • Market purchase: an item a merchant buys through the Service with its balance and has delivered to a Steam trade link.
  • Steam: the platform operated by Valve Corporation. SkinsFlow is not affiliated with, endorsed by or sponsored by Valve Corporation.

3. The service

SkinsFlow lets merchants accept game items as a payment method. In a typical deposit:

  1. the merchant creates a payment through the dashboard or the API;
  2. the customer opens the checkout, provides their Steam trade link and selects items from their inventory;
  3. the checkout shows the value of the selected items before the customer confirms;
  4. we send a Steam trade offer, which the customer accepts in Steam; and
  5. once the trade completes, we credit the merchant's project balance in US dollars, less our fee, and notify the merchant.

The Service also lets merchants buy items with their balance and send them to a Steam trade link, manage several projects and team members, and receive notifications (webhooks) about payments.

Trades are executed through our payment network partner and through Steam. We do not control Steam and are not responsible for its availability, rules or decisions, including trade holds, trade restrictions and account limitations imposed by Valve.

Item values are determined by us from current market data at the moment they are shown. Values change over time; the value shown at checkout is the value used for that deposit.

4. Accounts and verification

To use the Service as a merchant you must open an account, provide accurate and complete information, and keep it up to date. You are responsible for all activity under your account and its API credentials, and for keeping passwords, two-factor devices and API secrets confidential. Tell us immediately at [email protected] if you suspect unauthorised access.

Before a merchant can accept live payments, we verify the business (Know Your Business, "KYB") and the individuals who own or control it (Know Your Customer, "KYC"), as described in our AML & KYC Policy. We may ask for further information at any time, including after approval, and may refuse or withdraw approval at our discretion. We are not required to give reasons where the law or our compliance obligations do not allow it.

Merchants may invite team members and assign them roles. The merchant is responsible for the actions of everyone it invites.

You must be at least 18 years old and have full legal capacity to open a merchant account. Customers must meet the age requirements of Steam and of the merchant's own service, and in any case be old enough to enter into a binding transaction where they live.

5. Merchant obligations

As a merchant you agree that you will:

  • use the Service only for the business, websites and projects you have told us about, and tell us before you add a new kind of business;
  • comply with all laws that apply to your business, your customers and your marketing, including consumer protection, data protection, gambling and tax laws, and hold every licence your activity requires;
  • clearly tell your customers what they receive in return for their items, including any bonus you choose to display, and honour it;
  • provide your customers with your own terms, refund policy and customer support, and handle their complaints about your goods or services;
  • not present SkinsFlow as the seller of your goods or services, or as responsible for them;
  • keep your integration secure, verify webhook signatures, and not expose your API secret in client-side code;
  • not try to circumvent our checks, limits, fees or the Steam trade process; and
  • cooperate with our compliance reviews and with reasonable requests for information about specific transactions.

The merchant, not SkinsFlow, is the party that sells goods or services to the customer. Our role is limited to providing the payment method and recording the resulting value.

6. Customer checkout terms

If you pay a merchant through a SkinsFlow checkout:

  • You transfer items through a Steam trade. When you accept our trade offer, ownership of the items you selected passes to us, and the merchant receives the corresponding value. You can only offer items that you own, that are tradable, and that you have the right to transfer.
  • You see the value before you confirm. The checkout shows the value of each item and the total, including any bonus offered by the merchant, before you send anything. By accepting the trade offer you accept that value.
  • Check the trade offer. Only accept a trade offer that matches the items you selected in the checkout. We will never ask you to send items outside the checkout, or to share your Steam password or authenticator codes.
  • What you receive comes from the merchant. The goods, services, credits or balance you get in return are provided by the merchant under its own terms. Questions about them go to the merchant.
  • Trades are final once completed, subject to Steam Trade Protection described below. If a trade offer is declined, cancelled or expires, no items move and nothing is credited.
  • You must not use the checkout with stolen items, items obtained by fraud, or someone else's Steam account.

We may decline a trade, cancel a pending trade offer, or refuse to accept particular items at our discretion, for example where an item cannot be priced reliably or a security check fails.

7. Steam Trade Protection

Steam applies Trade Protection to certain trades. For up to seven (7) days after such a trade, the sender can ask Steam to reverse it, and Steam may return the items to the sender. We call a deposit in this window "on hold".

  • A deposit on hold is not credited to the merchant's balance until the protection period ends without a reversal, unless the merchant chooses to release it early.
  • A merchant may release a held deposit early. The balance is then credited at once, and the merchant accepts the risk that the items are returned.
  • If Steam returns the items after an early release, we reverse the credited amount from the merchant's balance. If the balance is insufficient, the merchant must repay the shortfall on request, and we may set it off against future credits.
  • We may show risk signals about a held deposit to help the merchant decide. These signals are provided for information only and are not a guarantee.

Customers who reverse a trade after receiving goods or services from a merchant may be acting unlawfully. We may share relevant information with the merchant and, where appropriate, with law enforcement, in line with our Privacy Policy.

8. Fees

Unless we have agreed different pricing with you in writing, merchants pay a fee of 2.5% of the US-dollar value of each deposit that is credited to their balance. The fee is deducted at the moment of crediting. There is no setup fee and no monthly fee. Deposits that fail, expire or are not credited carry no fee.

Market purchases are charged at the market price shown at the time of purchase. Customers pay no fee to SkinsFlow; the value shown at checkout is the value they receive from the merchant.

Our current prices are published on our pricing page. We may change our fees with at least thirty (30) days' notice by email or in the dashboard. Changes do not affect deposits already credited.

Fees are exclusive of any taxes. Each party is responsible for its own taxes.

9. Balances, purchases and payouts

Each project has a balance held in US dollars. The balance is a record of the value we owe to the merchant under these Terms; it does not earn interest and is not a deposit account, e-money or a bank account. Where a customer sees prices in another currency, we convert the value to US dollars at our exchange rate at the time of the deposit.

Merchants can use their balance to buy items through the Service and have them delivered to a Steam trade link. A purchase is final once the item has been delivered and the trade accepted. If a delivery fails or is cancelled before the item is delivered, the amount is returned to the balance.

Payouts of balances to a bank account or wallet are coming soon. When payouts become available, they will be subject to additional terms, verification and limits, which we will publish before launch.

We may hold, delay or reverse credits where we reasonably suspect fraud, a breach of these Terms, a legal or regulatory requirement, or an error. If we credit an amount by mistake, we may correct it.

10. Prohibited use

You must not use the Service for anything illegal, fraudulent or harmful, or for any activity listed in our Acceptable Use Policy. In particular, you must not use the Service to launder money, finance terrorism, evade sanctions, offer unlicensed gambling services where a licence is required, or trade stolen items or accounts.

You must not interfere with the Service, probe or attack its security, access it by automated means other than our documented API, or resell it without our written consent.

11. Suspension and termination

A merchant may close its account at any time by writing to us, once all pending deposits and purchases have settled.

We may suspend or close an account, a project or access to the API, with or without notice, if we reasonably believe that you have breached these Terms or our policies, that your use creates risk for us, our partners or other users, or that we are required to do so by law, by a regulator or by our payment network partners. Where the law allows, we will tell you why.

On closure we will settle the balance under these Terms, after deducting amounts you owe us and holding any amount we are legally required to hold. Sections that by their nature should survive termination, including fees owed, reversals, liability, indemnity and governing law, continue to apply.

12. Intellectual property

The Service, including its software, design, text and the SkinsFlow name and logo, belongs to us or our licensors. We grant merchants a limited, non-exclusive, non-transferable licence to use the Service and our brand assets, as published on our brand page, to integrate and promote SkinsFlow as a payment method during the term of their account.

Game names, items and related marks belong to their respective owners, including Valve Corporation and Facepunch Studios. Their use on SkinsFlow is for identification only.

13. Disclaimers

We work hard to keep the Service available and accurate, but it is provided "as is" and "as available". To the extent permitted by law, we do not warrant that the Service will be uninterrupted or error-free, that item values will match any third-party price, or that Steam or any third-party service will be available or behave in a particular way.

Items are virtual goods whose market value can change quickly. Nothing on SkinsFlow is investment, financial or tax advice.

14. Limitation of liability

Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud or for death or personal injury caused by negligence.

Subject to that, we are not liable for any indirect or consequential loss, or for loss of profit, revenue, business, goodwill or data, however caused. We are not liable for any loss caused by Steam, Valve, a game publisher, a merchant, or events outside our reasonable control.

Our total liability to a merchant arising out of or in connection with the Service in any twelve-month period is limited to the fees that merchant paid us in that period. Our total liability to a customer in connection with a deposit is limited to the value shown at checkout for that deposit.

15. Indemnity

Merchants will indemnify us against all losses, claims, fines and reasonable costs arising from their breach of these Terms or of the law, from their goods or services, or from claims by their customers that relate to the merchant's business rather than to our own breach.

16. Changes to the service and terms

We may change the Service, for example to add features, follow changes made by Steam, or meet legal requirements. We may update these Terms from time to time. If a change materially affects merchants, we will give at least thirty (30) days' notice by email or in the dashboard, unless a shorter period is required by law or for security reasons. The "Last updated" date at the top shows the current version. Continuing to use the Service after a change takes effect means you accept the updated Terms.

17. Governing law and disputes

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of the Republic of Seychelles. The courts of the Republic of Seychelles have exclusive jurisdiction, except that we may seek urgent relief in any competent court.

Before starting proceedings, please write to [email protected] so that we can try to resolve the matter. If you are a consumer, nothing in this section removes rights you have under the mandatory law of the country where you live.

18. General

  • These Terms, together with the policies they refer to and any written pricing agreement, are the whole agreement between you and us about the Service.
  • You may not transfer your rights under these Terms without our written consent. We may transfer ours to a company in our group or to a successor of our business.
  • If any part of these Terms is found unenforceable, the rest remains in force.
  • If we do not enforce a right immediately, we do not give it up.
  • These Terms are written in English. Any translation is for convenience only.
